Can a trademark be assigned without goodwill?
Yes. A trademark can be assigned with goodwill (including the business associated with it) or without goodwill (bare assignment of the mark). In a goodwill assignment, the assignee gets the right to use the mark in the same business category.
What is the difference between trademark assignment and licensing?
Assignment permanently transfers ownership of the trademark. Licensing allows another party to use the mark for a defined period without transferring ownership. Licensing is recorded via a Registered User agreement (Form TM-U), while assignment uses TM-P.
