This Non-Disclosure Agreement ("Agreement") is entered into on [DD/MM/YYYY] between:
[COMPANY NAME], a company incorporated under the Companies Act, 2013, having its registered office at [ADDRESS] ("Company"); and
[EMPLOYEE NAME], residing at [ADDRESS] ("Employee").
1. CONFIDENTIAL INFORMATION
"Confidential Information" means all non-public information disclosed by the Company, including business plans, customer and vendor lists, pricing, source code, designs, financials, and trade secrets, in any form.
2. OBLIGATIONS
The Employee shall: (a) use Confidential Information solely to perform their duties; (b) not disclose it to any third party; and (c) protect it with at least the same care as their own confidential information.
3. EXCLUSIONS
Obligations do not apply to information that is publicly available, already known to the Employee without duty of confidence, or required to be disclosed by law.
4. INTELLECTUAL PROPERTY
All work product, inventions and materials created by the Employee in the course of employment shall be the sole property of the Company.
5. TERM & SURVIVAL
These obligations apply during employment and shall survive for [THREE (3)] years after its termination. Trade secrets remain protected for as long as they qualify as such under law.
6. RETURN OF MATERIALS
On termination, the Employee shall return or destroy all Confidential Information and copies thereof.
7. GOVERNING LAW
This Agreement is governed by the laws of India; courts at [CITY] shall have exclusive jurisdiction.
