LLP Registration: Process, Cost & Compliance Explained

An LLP needs a minimum of two designated partners, at least one of whom must be an Indian resident. Unlike a Private Limited Company, there's no concept of authorised/paid-up share capital — partners contribute capital as agreed in the LLP Agreement, which also governs profit-sharing, decision-making, and admission/exit of partners.
Registration Steps
- Obtain Digital Signature Certificate (DSC) and Designated Partner Identification Number (DPIN) for partners
- Reserve the LLP name via the RUN-LLP service
- File incorporation form FiLLiP with the Registrar
- Draft and file the LLP Agreement (Form 3) within 30 days of incorporation
Ongoing Compliance
This is where an LLP genuinely wins over a Private Limited Company for small professional firms and consultancies. There's no mandatory statutory audit unless turnover exceeds ₹40 lakh or capital contribution exceeds ₹25 lakh. The only two recurring ROC filings are Form 11 (Annual Return, due 30 May) and Form 8 (Statement of Account & Solvency, due 30 October) — no board meetings, no company secretary requirement, no AGM.
Taxation
LLPs are taxed at a flat 30% on profits (plus surcharge and cess where applicable), with no dividend distribution tax concept since partners simply draw profit shares. There's no small-company concessional rate the way there is for some Private Limited Companies, which is worth factoring in if profits are expected to be modest in the early years.
When an LLP Is the Wrong Choice
If you plan to raise institutional funding, offer ESOPs, or eventually list the business, don't start as an LLP — conversion to a Private Limited Company later is possible under the Companies Act but adds legal cost, a fresh set of filings, and time you'd rather spend building the business.
